MYSTC TERMS OF SERVICE

1. INTRODUCTION

Welcome to Mystc ("Platform," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Mystc platform, including our website located at mystc.io, our mobile applications, and all related services (collectively, the "Services"). Mystc is a teleconference-based digital platform that connects clients with pre-vetted distance energy healers. All healing is done remotely—there is no physical interaction between healer and client.

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.

2. IMPORTANT NOTICES

2.1 Not Medical Services

MYSTC IS NOT A HEALTHCARE PROVIDER, MEDICAL PRACTICE, OR MENTAL HEALTH SERVICE.

The Services do not include the provision of medical advice, diagnosis, treatment, or any other healthcare services regulated by law. Energy healing services offered through the Platform are not intended to replace professional medical or mental health care.

2.2 No Medical Claims

Mystc does not claim that the energy healing services available through the Platform treat, cure, or prevent any disease, illness, or medical condition. Any statements regarding the potential benefits of energy healing are not evaluated by the Food and Drug Administration and are not intended to diagnose, treat, cure, or prevent any disease.

2.3 Emergency Situations

THE SERVICES ARE NOT INTENDED FOR USE IN MEDICAL EMERGENCIES OR FOR URGENT MEDICAL NEEDS.

If you are experiencing a medical emergency, call your doctor, go to the emergency room, or call 911 immediately.

2.4 Independent Practitioners

All energy healers ("Practitioners") available through the Platform are independent contractors, not employees or agents of Mystc. Mystc is not responsible for the quality, appropriateness, or efficacy of the services provided by Practitioners.

3. ELIGIBILITY

3.1 Age Requirements

You must be at least 18 years of age to access and use the Services. By accessing or using the Services, you represent and warrant that you are 18 years of age or older.

3.2 Capacity

You represent and warrant that you have the legal capacity to enter into these Terms and to comply with and be bound by these Terms.

3.3 Geographic Restrictions

The Services are intended for use by individuals located in jurisdictions where energy healing services are permitted by law. You are responsible for complying with all applicable local laws. Mystc reserves the right to limit the availability of the Services to any person, geographic area, or jurisdiction at any time in our sole discretion.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation

To access certain features of the Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Mystc immediately of any unauthorized use of your account or any other breach of security.

4.3 Account Types

The Platform offers two types of accounts:

  • Client Account: For individuals seeking energy healing services
  • Practitioner Account: For qualified energy healers providing services

Different terms may apply to each account type, as specified in these Terms or in separate agreements.

5. CLIENT TERMS

5.1 Service Booking

Clients may use the Platform to search for, select, and book sessions with Practitioners. All bookings are subject to Practitioner availability and acceptance.

5.2 Session Fees and Payment

5.2.1 Fee Structure

Session fees are set by individual Practitioners and are displayed on the Platform prior to booking. Mystc charges a platform fee for facilitating the connection between Clients and Practitioners.

5.2.2 Payment Processing

All payments are processed through our third-party payment processors. By providing payment information, you represent and warrant that you are authorized to use the payment method and agree to pay all fees in full.

5.2.3 Taxes

You are responsible for paying all applicable taxes associated with your use of the Services.

5.3 Cancellation, Rescheduling & No-Show Policy

5.3.1 Client-Initiated Changes

Clients are permitted to cancel or reschedule a session up to 24 hours before the scheduled session time. This can be done entirely through the self-service options available on the Platform. Any new session time must be scheduled at least 24 hours in the future; same-day rescheduling is not permitted. Once the 24-hour mark before a session is reached, the session becomes locked in, and no further changes (cancellations or rescheduling) are allowed by the client.

5.3.2 No-Show Policy

If a client fails to attend a scheduled session and has not canceled or rescheduled within the permitted 24-hour window, the session will be marked as a no-show. In such instances, the client will be charged in full for the missed session. To continue receiving services, the client must book a new session.

5.3.3 Healer-Initiated Changes

Healers retain the ability to reschedule clients from their dashboard at any time. Healers may also use the "Start Now" function to begin a session early, provided both the healer and client mutually agree. The system is designed to prioritize the healer's time and boundaries.

5.3.4 Reminders

Clients will receive automated reminders for their scheduled sessions:

  • An email reminder will be sent 48 hours before the session.
  • A second email reminder will be sent 24 hours before the session.
  • An SMS reminder, including the session link, will be sent 10 minutes before the session.

5.4 Client Acknowledgments

By using the Services as a Client, you acknowledge and agree that:

  • Energy healing services are not a substitute for professional medical care;
  • Results from energy healing services vary and cannot be guaranteed;
  • You are responsible for consulting with healthcare providers regarding any medical conditions;
  • You will provide accurate information about your health status when relevant to the energy healing services;
  • You will not use the Services for emergency medical needs; and
  • You assume all risks associated with energy healing services.

6. PRACTITIONER TERMS

6.1 Practitioner Eligibility

To register as a Practitioner, you must:

  • Complete Mystc's application and vetting process;
  • Maintain professional liability insurance with minimum coverage of $2,000,000 per occurrence;
  • Agree to Mystc's Practitioner Agreement; and
  • Comply with all applicable laws and regulations in your jurisdiction.

6.2 Independent Contractor Status

Practitioners are independent contractors and not employees, partners, agents, joint venturers, or franchisees of Mystc. Practitioners are solely responsible for:

  • Determining when and how to provide services;
  • Setting their own session fees (subject to Platform guidelines);
  • Complying with all applicable tax, insurance, and legal requirements;
  • Maintaining appropriate professional credentials and insurance; and
  • The quality and content of the services they provide.

6.3 Service Limitations

Practitioners agree not to:

  • Diagnose, treat, or prescribe for any disease, illness, or medical condition;
  • Make claims that their services cure or treat specific medical conditions;
  • Advise clients to discontinue or modify medically prescribed treatments;
  • Provide services outside their scope of expertise; or
  • Engage in any conduct that could be construed as practicing medicine, psychology, or other licensed professions without appropriate licensure.

6.4 Platform Fees

Mystc charges Practitioners a platform fee for each session booked through the Platform. Current fee structures are available in the Practitioner dashboard.

7. PROHIBITED CONDUCT

You agree not to:

  • Use the Services for any illegal purpose or in violation of any applicable laws;
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity;
  • Interfere with or disrupt the Services or servers or networks connected to the Services;
  • Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services;
  • Use any robot, spider, scraper, or other automated means to access the Services for any purpose;
  • Bypass or circumvent measures employed to prevent or limit access to the Services;
  • Harass, threaten, intimidate, or harm any Practitioner, Client, or other user;
  • Post or transmit any content that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene, or otherwise objectionable;
  • Promote or encourage illegal activity;
  • Exploit the Services for commercial purposes not expressly approved by Mystc;
  • Infringe the intellectual property rights of others; or
  • Attempt to circumvent any security feature of the Services.

8. INTELLECTUAL PROPERTY

8.1 Ownership

The Services, including all content, features, and functionality, are owned by Mystc or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Limited License

Subject to your compliance with these Terms, Mystc grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use.

8.3 Restrictions

You may not:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Services;
  • Use any content from the Services for commercial purposes without Mystc's prior written consent;
  • Remove any copyright, trademark, or other proprietary notices from the Services; or
  • Frame or mirror any part of the Services without Mystc's prior written authorization.

8.4 Feedback

If you provide Mystc with any feedback, suggestions, or ideas regarding the Services, you grant Mystc an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty- free license to use such feedback in any way.

9. PRIVACY

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and disclose information about you. By using the Services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

10. DISCLAIMERS

10.1 Service Disclaimers

THE SERVICES AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MYSTC DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Energy Healing Disclaimers

MYSTC MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR EFFICACY OF ANY ENERGY HEALING SERVICES PROVIDED THROUGH THE PLATFORM. ENERGY HEALING RESULTS VARY FROM PERSON TO PERSON, AND MYSTC DOES NOT GUARANTEE ANY SPECIFIC OUTCOME OR RESULT.

10.3 Practitioner Disclaimers

MYSTC DOES NOT ENDORSE ANY PRACTITIONER AND IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, OR EFFICACY OF ANY SERVICES PROVIDED BY PRACTITIONERS. WHILE MYSTC CONDUCTS A VETTING PROCESS, WE DO NOT GUARANTEE THE ACCURACY OF ANY INFORMATION PROVIDED BY PRACTITIONERS OR THE QUALITY OF THEIR SERVICES.

10.4 Technical Disclaimers

MYSTC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. LIMITATION OF LIABILITY

11.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYSTC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

11.2 Maximum Liability

WITHOUT LIMITING THE FOREGOING, MYSTC's TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO MYSTC DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

11.3 Exclusions

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Mystc, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

13. DISPUTE RESOLUTION

13.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule.

13.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

13.3 Class Action Waiver

ANY ARBITRATION OR OTHER PROCEEDING SHALL PROCEED SOLELY ON AN INDIVIDUAL BASIS. YOU WAIVE YOUR RIGHT TO COMMENCE OR PARTICIPATE IN ANY CLASS ACTION, REPRESENTATIVE ACTION, OR COLLECTIVE ARBITRATION AGAINST MYSTC.

13.4 Small Claims Court

Notwithstanding the foregoing, either party may bring an individual action in small claims court.

13.5 Limitation Period

Any claim arising out of or related to these Terms or the Services must be filed within one (1) year after such claim arose, otherwise, the claim is permanently barred.

14. TERMINATION

14.1 Termination by You

You may terminate your account at any time by following the instructions on the Platform or by contacting us at support@mystc.io.

14.2 Termination by Mystc

Mystc may terminate or suspend your account and access to the Services at any time, without prior notice or liability, for any reason, including if Mystc believes that you have violated these Terms.

14.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. CHANGES TO TERMS

Mystc reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Mystc concerning the Services.

16.2 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Mystc's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

16.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

16.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Mystc's prior written consent. Mystc may assign these Terms at any time without notice or consent.

16.5 Force Majeure

Mystc shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Mystc's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.

16.6 Relationship of Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and Mystc.
